Prospectus Regulator

The successful applicants will contribute to a team responsible for the scrutiny and approval of prospectus documents, a critical function in ensuring that the division is in a position to effectively meet its obligations under the Prospectus Regulations.

Specific Responsibilities
• Working as part of a multidisciplinary team;
• Performing the prospectus scrutiny function and associated tasks under the Prospectus Regulations;
• Involvement in development of internal procedures and processes in respect of the scrutiny of prospectus documents for compliance with the requirements of the Prospectus Regulations;
• Involvement in the development of the regulatory and supervisory regime in respect of the Prospectus Regulations;
• Involvement in the development of policy in respect of issues arising under the Prospective Directive and Prospectus Regulations;
• Involvement in the administrative sanctions process pertaining to the Prospectus Regulations;
• Dealing with industry queries in respect of the Prospectus Regulations and Prospectus Directive;
• Involvement with correspondence and queries from other securities regulators in accordance with the cooperation obligations set down in the Prospectus Regulations and Prospectus Directive;
• Assist in drafting rules and guidance pertaining to the Prospectus Regulations;
• Training and development of staff

Although not a pre-requisite for selection, candidates with the following background or knowledge would be at an advantage:

• Planning and organising;
• Acting professionally and with integrity;
• Dealing with individual’s needs and queries;
• Team management and development; and

• Knowledge of the review and/or preparation of prospectus documents pursuant to the Prospectus Regulations and, in particular, the prospectus disclosure requirements set out in Commission Regulation (EC) No. 809/2004;
• Knowledge of EU policy and trends in regulation related to compliance with the requirements of the Prospectus Regulations;
• Excellent oral and written communication skills, in particular the ability to relate the technical aspects of policy development and proposals to colleagues, industry and other stakeholders in a clear and concise format

Qualifications and work experience
Prior directly relevant experience is important. The minimum requirement for this position is an honours third level degree/professional qualification (Level 8 on the National Framework of Qualifications) and/or at least 1 year prior relevant professional experience would be an advantage.

• A background in and technical knowledge of relevant domestic and EU securities legislation, in particular the Prospectus Regulations and its implementation;
• An appropriate third level qualification in a discipline such as accountancy, finance or law, ideally to post-graduate or equivalent professional level, is a distinct advantage.

Senior Prospectus Regulator

The Corporate Finance Division (CFD) has been created to deal with issues of an operational and policy nature arising from the European Prospectus and Transparency directives. One of the main functions falling within the remit of CFD is the scrutiny and approval of prospectus documents and the review and processing of associated documents for compliance with the provisions of the Prospectus (Directive 2003/71/EC) Regulations 2005 (the Prospectus Regulations). The Prospectus Regulations implement the provisions of the Prospectus Directive 2003/71/EC (the Prospectus Directive) in Ireland, the purpose of which is to harmonise requirements for the drawing up, approval and distribution of the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market, the objective being to ensure investor protection and market efficiency. Incumbent in this function is the interpretation, development and implementation of policy and procedures related to the scrutiny and approval process.

We are seeking to recruit Senior Prospectus Regulators within CFD. The successful applicants will contribute to a team responsible for the scrutiny and approval of prospectus documents, a critical function in ensuring that the division is in a position to effectively meet its obligations under the Prospectus Regulations.

• Supervising the team responsible for the performance of the prospectus scrutiny function and associated tasks under the Prospectus Regulations;
• Development of internal procedures and processes in respect of the scrutiny of prospectus documents for compliance with the requirements of the Prospectus Regulations;
• Involvement in the development of the regulatory and supervisory regime in respect of the Prospectus Regulations;

In particular, this will include:

Involvement in the practical aspects of the implementation of Solvency 2 in the Central bank, in particular assessment of Insurance Internal Models
Analysis of actuarial sign-off of annual returns for insurance and reinsurance firms in line with Society of Actuaries guidance relating to the different sectors.
Technical input into the on/off site supervision of all insurance and reinsurance firms and enforcement of the regulatory framework. Management and training of staff.
Carrying out such other functions as may be determined.

The Central Bank of Ireland is enhancing its organisational risk capabilities. As part of this programme, the CBI is seeking to appoint a specialist responsible for operational risk management. The Central Bank’s operational risk management programme aims to identify the risks arising from its financial and operational activities, and the mitigants to reduce the probability and /or impact of risks.

Position Overview
The successful applicant will be responsible for leading the Central Bank’s operational risk management programme, including the review, development, implementation and maintenance of its operational risk framework. Whereas local business areas own the risks, the operational risk manager will ensure that the CBI framework is applied consistently throughout the organisation and that risks are effectively managed. This role will include a review of the CBI’s existing framework and current risk profile; provision of expertise to local business areas as they seek to develop and refine their operational risk profiles; up-skilling a network of operational risk coordinators across the organisation; and producing progress reports to senior management.
Specific Responsibilities
• Further develop and maintain the organisation-wide operational risk framework
• Ensure a consistent approach to identification and grading of operational risks across an organisation with many diverse business areas
• Assist local business areas to develop and maintain their operational risk profiles
• Ensure that ongoing risk monitoring is in place and challenged
• Promote a strong risk-awareness culture across all business lines, including up-skilling a network of operational risk coordinators
• Provision of regular reports to management on effectiveness of operational risk framework and current operational risk profile
Knowledge and Skills
• Solid understanding of operational risk management
• Lead the operational risk team within the Organisational Risk division
• Ability to quickly develop a working knowledge of all areas of the organisation
• Ability to maintain and develop appropriate IT systems for operational risk
• Strong communication and training skills
Experience:
• Five years or more of related work experience, preferably in financial services or a related industry
• Industry certification in operational risk
